The Share Cap Simulator is a financial modelling tool designed to help founders and early stage teams understand the impact of fundraising decisions before they happen. You can model multiple funding rounds, compare different investor structures, test SAFE and convertible note scenarios, and simulate exit outcomes to see how proceeds would be distributed among founders, investors, and option holders.

The platform includes built-in rules that flag common structural issues—such as excessive dilution, underfunding, or complex preference stacks—helping you identify potential problems early in your planning process.

How it works

The simulator is organised around five core areas that mirror the typical fundraising journey:

  1. Company and Founders Create your company profile, add founders and early stakeholders, and set initial shareholdings to establish your starting cap table.
  2. Investors Add confirmed and prospective investors to model different funding scenarios and investor combinations.
  3. Rounds Build your funding roadmap by creating equity rounds, SAFEs, or convertible notes. For each round, set pre-money valuation, target raise, and investor contributions. Convertibles automatically convert at the next priced equity round.
  4. Dashboard Review your complete cap table evolution, ownership percentages at each stage, and rules flags that highlight potential structural concerns.
  5. Exit simulator Model different exit values to understand how proceeds would be distributed across all stakeholders based on their holdings and investment terms.

Getting started

  • Create your company and add founders with their initial shareholdings
  • Add investors you're speaking with or considering for future rounds
  • Build your first round (seed, pre-seed, or SAFE) with a pre-money valuation and target raise
  • Allocate contributions from investors to see how ownership changes
  • Add subsequent rounds to model your full fundraising roadmap
